What else KnowMyContract checks

  • Auto-renewal with 60–90 day cancellation window
  • Unilateral price increase at renewal
  • SLA with no meaningful remedy
  • Liability cap under 1x annual fees
  • Mandatory arbitration in vendor's jurisdiction

What are the biggest risks in a service agreement?

Auto-renewal with long notice-to-cancel windows, price-increase clauses at renewal, weak or missing SLA remedies, liability caps that shield the vendor from real damages, indemnity clauses that put you on the hook for the vendor's IP issues, and mandatory arbitration in a vendor-friendly jurisdiction.

Vendor-drafted contracts protect the vendor. The most expensive clause is usually auto-renewal with a 60- or 90-day cancellation window — miss it, and you owe another full year. KnowMyContract flags every renewal clause with the exact notice date derived from your effective date.

How do I avoid auto-renewal traps?

Ask for a 30-day notice window (not 60 or 90), a price-lock at renewal (or a cap on any increase), and a clear cancellation channel (email is enough — no certified mail requirement). Better yet, negotiate a manual-renewal clause so the contract lapses unless you explicitly renew.

Auto-renewal exists because most customers forget. KnowMyContract's Critical Dates card generates .ics calendar events for every renewal deadline so you never miss a cancellation window.

What should an SLA include?

Defined uptime (99.9% or higher for critical services), a measurement methodology (excluded downtime, calculation window), service credits proportional to the outage, a right to terminate for chronic breach (e.g. below 99% for two months), and a clear reporting cadence.

Service credits that cap at 10% of monthly fees are essentially symbolic. Push for credits that scale with impact and add a termination-for-cause trigger. KnowMyContract flags SLAs with no remedy or with 'sole and exclusive' remedy language.

What is a liability cap and how low is too low?

It limits the vendor's maximum liability, usually to fees paid in the prior 12 months. That's fine for low-impact services but dangerous for anything that could cause data breach, downtime, or regulatory exposure. Push for carve-outs (data breach, gross negligence, IP infringement) with higher or uncapped liability.

A ₹1 lakh liability cap on a service that touches customer data is meaningless — one breach could cost you crores in fines and remediation. KnowMyContract flags liability caps under 3x annual fees and suggests specific carve-outs to negotiate.
